Clear, honest terms for how we work together, how your data is handled, and what we both commit to.

Introduction
OpenNube.ai is the AI practice of OpenNube, operating through OpenNube LLC (Florida, USA) and OpenNube Argentina SAS (Argentine law). These terms govern use of the platform and services. A full Master Services Agreement (MSA) is available upon request.
Plain language commitment. These terms are written to be read, not just signed. If something is unclear, write to legal@opennube.ai and we will explain it.

Your data
You own your data. We process it only to deliver the services contracted.
Where it's stored
Dedicated servers in Canada. No shared tenancy.
How long
12 months post-engagement. Deletion on request within 10 business days.
Who can access
Only assigned team members, least privilege.
What we never do
Never sell, rent, share, or train models with your data.
Personal data requires a Data Processing Agreement (DPA) before submission. All data encrypted in transit (TLS 1.2+) and at rest.

AI processing
We use third-party AI providers under Zero Data Retention (ZDR) — a mandatory contractual requirement.
Provider criteria
- ZDR: no retention of prompt or completion data after request
- No training on client data
- Signed Data Processing Agreement
- Encryption in transit and at rest
- SOC 2 Type II or ISO 27001 certification
What happens step by step
- Your input travels encrypted to our platform
- The platform constructs a structured request
- Request sent to AI provider under ZDR
- Provider returns the response — no content retained by the provider
- Response stored securely in your account
- Only metadata (timestamps, token counts) retained by the router for billing — never content
Note on AI outputs: AI-generated content is probabilistic. It does not constitute professional advice and requires validation by qualified personnel.
Human oversight: All AI-assisted sessions are conducted under the supervision of a qualified OpenNube.ai consultant, by design.

Intellectual property
Ours
Platform, Methodology, Skills, prompt structures, and frameworks. Custom Skills are licensed to the client for internal use only.
Yours
Your data, your processes, your deliverables. AI outputs generated during sessions are licensed for your internal business use.
Restrictions
- No reverse engineering of Skills or prompts
- No use of outputs to train competing models
- No resale or sublicensing of platform access

Acceptable use
The platform is for internal business use during the engagement period. The following are prohibited:
Data you don't have rights to process
Government-classified, PHI, or PCI-DSS data without specific agreement
Unauthorized access attempts
Reverse engineering AI configurations
Using outputs to deceive or harm
Sharing credentials between users
Transmitting malicious code

Aligned with the five core functions: Identify, Protect, Detect, Respond, Recover.
Argentine personal data protection — Law 25,326 and Resolution 47/2018.
Data Processing Agreement with Standard Contractual Clauses (SCCs) available for EU clients. Contact us to initiate.
Controls aligned with ISO 27001 principles. Certification on medium-term roadmap.

Commercial terms
- Fees in USD unless agreed otherwise
- Monthly recurring charges payable in advance, non-refundable once period starts
- Invoices due within 30 days
- Fees exclude taxes (client's responsibility)
- Fee revisions once per 12 months with 30 days notice
- Termination without cause: 30 days written notice

Argentine law, courts of Córdoba.
